1. Agreement to Terms
By accessing or using VibeTrade (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you agree to these Terms for that organization and warrant that you have the authority to bind the organization to these Terms. These Terms should be read in conjunction with our Privacy Policy, Risk Disclosure Statement, and Disclaimer, each of which is incorporated by reference into these Terms.
2. Description of Service
VibeTrade is a trading interface for the Hyperliquid protocol that provides:
- Advanced charting tools powered by TradingView
- An order book, order panel, and account-management surface for Hyperliquid Spot and Perpetual markets
- An AI assistant for market analysis and trading insights
VibeTrade is a software interface that assists with order routing and account monitoring on the Hyperliquid protocol. It does not operate a cryptocurrency exchange or broker service; all trades are signed by credentials you control and executed directly on Hyperliquid.
VibeTrade is an independent, unincorporated software project rather than a registered company. References to "VibeTrade", "we", "us", or "our" mean the operator of the VibeTrade project, and nothing in these Terms should be read as a representation that VibeTrade is an incorporated legal entity, a licensed financial institution, or a regulated service provider.
3. Eligibility
3.1. Minimum Age and Legal Capacity: You must be at least 18 years old (or the age of majority in your jurisdiction) and legally permitted to use financial services in your jurisdiction. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.
3.2. Location and Sanctions: You represent that you are not located in, a resident of, or under the control of any country or jurisdiction that is subject to international trade sanctions or otherwise restricted under applicable law. You also represent that you are not listed on any sanctions list maintained by an applicable governmental authority. If any applicable law or sanctions prohibit your use of the Service, you must not use the Service.
3.3. Right to Refuse Service: We reserve the right to choose the markets and jurisdictions in which we operate. We may restrict or refuse, at our discretion, the provision of the Service in certain countries or regions for legal or regulatory reasons.
4. Account Registration and Security
4.1. Account Information: When creating an account, you agree to provide accurate, current, and complete information. You must promptly update your account information if it changes. If you provide any information that is untrue or incomplete, we may suspend or terminate your account.
4.2. Account Credentials: You are solely responsible for maintaining the confidentiality of your account login credentials and any API keys you use with the Service. Do not share your password, API keys, or other secure credentials with anyone. You are responsible for all activities that occur under your account.
4.3. Unauthorized Access: You must immediately notify us at our support email if you become aware of any unauthorized access to or use of your account or API keys. We will assume that any actions taken through your account (or via your API keys) are authorized by you until you notify us otherwise.
4.4. Liability for Account Misuse: We are not liable for any loss or damage arising from unauthorized use of your account or API keys. This includes any trades or actions taken by someone else using your credentials. Always use strong passwords and protect your login information to mitigate this risk.
4.5. Account Suspension: We reserve the right to suspend or terminate your account (and any related access to the Service) if we suspect any unauthorized or fraudulent activity, or if you violate any of these Terms. We may also suspend or terminate accounts that have been inactive for an extended period, or as required by law or regulation.
5. Financial Disclaimer

5.1. Not Financial Advice: The Service does not provide investment, financial, legal, or tax advice. All information, analysis, and AI-generated content provided through VibeTrade are for informational purposes only. Nothing on the Service should be construed as a recommendation, endorsement, or solicitation to buy or sell any financial instrument.
5.2. No Recommendations: Any market analysis, trading signals, strategies, or suggestions provided by the AI assistant (or by any other feature of the Service) do not constitute recommendations or advice to enter or exit any trade. You should not rely on any information obtained from the Service as the sole basis for making trading decisions.
5.3. Trading Risks: Trading cryptocurrencies and other financial instruments involves substantial risk of loss. You may lose some or all of your invested capital. Past performance (including any results from backtesting or simulations provided by the Service) is not indicative of future results. Markets can be volatile, and there are no guarantees of profit.
5.4. User's Responsibility: All trading decisions and actions are made solely by you. You are fully responsible for evaluating the merits and risks of any trade or investment you choose to undertake. You agree that you use any information or tools provided by VibeTrade at your own risk, and you will conduct your own independent research and judgment before making any trading decision.
5.5. No Accuracy Guarantee: We do not guarantee the accuracy, completeness, or timeliness of any information, data, or content provided through the Service. While we strive to provide useful and accurate information, VibeTrade and its providers (including any AI) may not reflect the most current data or market conditions at all times.
5.6. No Broker or Fiduciary Relationship: VibeTrade is not a registered broker-dealer, investment adviser, or exchange, and we do not hold any regulatory licenses to provide financial advice. Using VibeTrade does not create any fiduciary relationship between you and us. We do not take custody of your assets, and we do not independently initiate trades on your behalf — all trades are carried out through your linked exchange accounts based solely on your authorized instructions or configured strategies. You should consider seeking advice from a qualified financial advisor for personal guidance.
6. AI Features Disclaimer
6.1. AI Limitations: The Service's AI assistant utilizes large language models (LLMs) to generate analyses and responses. These AI-generated outputs may sometimes be inaccurate, incomplete, or outdated. The AI might not always reflect current market conditions or real-time data accurately.
6.2. No Guarantee of Accuracy: Any analysis, predictions, or insights provided by the AI assistant are probabilistic and are provided on a best-effort basis. We do not guarantee the correctness or accuracy of AI-generated content. There may be errors or omissions in the AI's responses.
6.3. Human Oversight Required: You should always independently verify any information or analysis obtained from the AI (or the Service in general) before making decisions. AI responses should not be relied upon as the sole basis for any trading or investment decision. Use the AI as a supportive tool, not as a final authority.
6.4. AI Improvement and Changes: The AI models and features in the Service are subject to continuous improvement. They may be updated, tuned, or modified over time without prior notice. The behavior or output of the AI assistant may change as the underlying models are improved. We make no guarantee that any particular AI feature or functionality will remain available or produce consistent results.
6.5. No Personalized Advice: The AI assistant provides generalized information and does not tailor its output to your personal financial situation, objectives, or risk tolerance. It cannot account for all factors relevant to your circumstances. Always consider your own situation or consult a professional before acting on AI-provided information.
7. Hyperliquid Protocol Integration
7.1. Your Hyperliquid Account: The Service allows you to connect a Hyperliquid wallet (via API Wallet credentials) so that you can route orders to the Hyperliquid protocol through our interface. Your use of the Hyperliquid protocol is governed by Hyperliquid's own terms and policies, and it is your responsibility to abide by them. We have no control over the protocol's economic parameters, fees, or governance decisions.
7.2. API Wallet Credential Security: When you provide an API Wallet private key or other access credentials to the Service, those credentials are encrypted and stored securely on our systems. We implement security measures to protect your credentials; however, you acknowledge that providing such credentials inherently involves some security risks. The API Wallet is scoped to trade and account-management actions only and cannot withdraw funds, but you should still treat the private key as a secret. Any instructions sent through our Service using your credentials will be treated by Hyperliquid as authorized by you.
7.3. No Liability for Protocol Issues: We are not responsible or liable for any issues, losses, or damages arising from the operation of the Hyperliquid protocol or its supporting infrastructure. This includes, but is not limited to, protocol downtime or outages, delays or failures in order execution, security incidents at the protocol level, errors in on-chain data, changes in protocol APIs, or governance actions affecting markets. Any dispute or issue with the protocol's performance is between you and the protocol, though we will make reasonable efforts to support you in resolving technical integration problems related to our Service.
7.4. Testnet vs. Mainnet: The Service may offer both testnet and mainnet modes when connected to Hyperliquid. You are solely responsible for understanding and using the correct mode. Be very careful when transitioning from testnet to mainnet. We are not liable for any unintended mainnet trades or real losses that occur because you misunderstood the mode or configuration you were using. Always confirm whether you are trading with real funds or on the testnet.
7.5. No Custody of Funds: You acknowledge that VibeTrade never takes possession of or controls your cryptocurrency or funds. Any trades you execute via the Service are performed on Hyperliquid through credentials you control, and the assets involved in trades remain on Hyperliquid in addresses you control. We do not have the ability to move or withdraw your funds; the Service functions as a tool to send trading instructions to the protocol based on your input.
9. Prohibited Uses
When using VibeTrade, you agree NOT to engage in any of the following prohibited activities:
- Illegal Activities: Do not use the Service for any unlawful purpose or in furtherance of illegal activities. You must comply with all applicable laws, regulations, and rules when using VibeTrade.
- Unauthorized Access: Do not attempt to gain unauthorized access to the Service, our systems, or other users' accounts. This includes not bypassing or undermining any authentication or security measures of the Service.
- Interference: Do not interfere with or disrupt the Service or servers/networks connected to the Service. This means you must not deploy any harmful components, such as denial-of-service attacks, that could impair the Service's functionality or performance for other users.
- Automated Use: Do not use any automated means (such as bots, scrapers, or scripts) to access or collect data from the Service without our prior permission. The only exception is if you are using our official API (if provided) in accordance with its guidelines.
- Reverse Engineering: Do not attempt to reverse engineer, decompile, decipher, or otherwise extract the source code of any software or components of the Service, except to the extent that such activity is expressly permitted by applicable law.
- Malicious Code: Do not upload, transmit, or distribute any viruses, worms, malware, or any other code that is malicious or technologically harmful through the Service. You must not use the Service to distribute any software or materials that harass, abuse, or harm others or the Service infrastructure.
- Market Manipulation or Fraud: Do not use the Service to engage in any activities that manipulate markets, involve insider trading, or constitute fraudulent or deceptive practices. You must not use the Service to deceive others or to facilitate any form of fraud.
- Intellectual Property Infringement: Do not use the Service to upload or share content that infringes on anyone's intellectual property or proprietary rights (such as copyrights, trademarks, patents, or trade secrets) or violates privacy/publicity rights of others.
- Resale or Misuse of Service: Do not resell, rent, lease, or redistribute the Service (or any portion of it) to any third party without our explicit authorization. You may not exploit the Service or access to it for any commercial purpose not expressly permitted by these Terms. For example, you should not share your account or provide unauthorized access to others, nor white-label our Service without permission.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including terminating accounts, reporting to law enforcement, or taking legal action.
10. Intellectual Property
10.1. Ownership: The Service (including all content, software, technology, materials, and features provided through the Service) is owned by or licensed to VibeTrade and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All logos, product names, and service names on VibeTrade are trademarks of VibeTrade or its partners/licensors. Nothing in these Terms transfers any ownership of such intellectual property to you.
10.2. Limited License: We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. This license does not allow you to copy, distribute, modify, publish, or create derivative works from our content or software except as explicitly allowed by us. All rights not expressly granted to you in these Terms are reserved by VibeTrade and its licensors.
11. User Content
11.1. Ownership of Your Content: You retain ownership of any content that you create, input, submit, or upload to the Service (for example, custom trading strategies, code, text, or data you provide) ("User Content"). We do not claim ownership over your User Content.
11.2. License to VibeTrade: By submitting or uploading User Content to the Service, you grant us a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify (e.g., for formatting or technical purposes), store, and process your User Content but solely for the purpose of operating and providing the Service. This means, for example, that we have your permission to load your saved trading strategy into our servers' memory to run it, to display content you input back to you, or to back up your data as part of our service operations. We will not use your User Content for any purposes outside of providing the Service without your consent.
11.3. Your Responsibility for Content: You represent and warrant that you have all necessary rights to submit or share the User Content that you provide, and that your User Content does not infringe or violate the rights of any third party (including intellectual property rights and privacy rights) or any applicable laws. You are solely responsible for the content you make available through the Service, including ensuring that it is lawful and appropriate.
11.4. Monitoring and Removal: We are not obligated to monitor User Content, and we generally do not pre-screen User Content. However, we reserve the right (but do not assume the obligation) to review, screen, or delete any User Content at our sole discretion, for example if we determine that any content violates these Terms or applicable law, or is otherwise objectionable. We may also disable or take down any User Content if properly notified that such content infringes on another's intellectual property rights (in accordance with applicable copyright laws or other IP regulations).
11.5. Use at Your Own Risk: Any User Content (including trading strategies or code) that is created or provided by users (including yourself or others) is used at your own risk. VibeTrade does not endorse, verify, or guarantee the accuracy or reliability of User Content. We are not responsible for any loss or damage arising from your use of or reliance on any User Content available through the Service. You should independently review and test any user-generated code or strategy before using it in live trading.
12. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy describes how we collect, use, and disclose information from our users. By using the Service, you acknowledge that your information will be collected, used, and processed as described in the Privacy Policy and in accordance with applicable law. If you have questions about our privacy practices, please review the Privacy Policy or contact us for more information.
13. Service Availability
13.1. No Uninterrupted Guarantee: We strive to maintain high availability and performance of the Service, but we do not guarantee that the Service will be available 100% of the time or that it will be error-free. From time to time, the Service may be unavailable due to scheduled maintenance, upgrades, emergency repairs, or other interruptions. Network or system outages, hardware or software failures, or other events may also impact the availability of the Service.
13.2. Modification and Discontinuation: We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, temporarily or permanently, without prior notice. We may introduce new features or discontinue old features as part of improving the Service or for other business reasons. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. If we discontinue the Service in its entirety, we will endeavor to provide notice to users via the Service or email.
13.3. Maintenance and Updates: Scheduled maintenance periods will be announced in advance when possible (for example, via our website, status page, or email notifications). During maintenance windows, some or all Service functionality may be unavailable. Additionally, we may automatically update the Service (including deploying changes or patches) without notice. It is your responsibility to ensure that your environment (browser, device, etc.) is compatible with the latest version of our Service.
14. Fees and Payments
14.1. Paid Features and Pricing: Certain features or services on VibeTrade are available only through paid access — for example, via subscription plans or one-time purchases. All fees for such paid features (subscription fees, usage fees, one-time charges, etc.) will be clearly stated at the time of purchase or sign-up. By signing up for a paid service or purchasing a feature, you agree to pay the indicated fees and any applicable taxes. You authorize us (and our designated payment processors) to charge your chosen payment method for the fees due. Prices are listed in the applicable currency and do not include any taxes (such as VAT or sales tax) unless stated; you are responsible for paying any such taxes as required by your jurisdiction.
14.2. Subscriptions and Auto-Renewal: If you enroll in a subscription-based service, the subscription will automatically renew at the end of each billing cycle (e.g., monthly or annually) unless you cancel the subscription prior to the renewal date. By providing a payment method for a subscription, you consent to automatic charges for the subscription fees on the schedule disclosed (e.g., your card will be charged every month until you cancel). You can cancel a subscription at any time via your account settings or by contacting our support. If you cancel, the cancellation will take effect at the end of your current paid term — you will retain access to the paid features until that term expires, and the subscription will not renew thereafter. We do not prorate or refund unused portions of a subscription period except where required by law or explicitly stated in a promotion.
14.3. No Refunds: All fees are non-refundable unless otherwise stated in writing by us or required by applicable law. This means that once a payment is made, you will generally not be able to get a refund for any unused services or remaining time in your subscription. For example, if you cancel a subscription midway through a month, you will not receive a refund for the remainder of that month (you will continue to have access until the period ends). If a one-time service or feature has been provided or activated, that purchase is final. We may consider refund requests on a case-by-case basis in extenuating circumstances, but we are not obligated to provide a refund.
14.4. Payment Issues: You are responsible for ensuring that your payment information is accurate and up to date. If your payment method fails or your account becomes past due, we reserve the right to suspend or terminate your access to paid features or the Service. For example, if a recurring subscription charge is declined, we may downgrade your account to a free tier or temporarily block access to premium features until payment is resolved. You agree to reimburse us for any collection costs or charges (including attorneys' fees) incurred in recovering overdue amounts. Additionally, if any bank, credit card provider, or payment processor imposes fees or charges on us due to reversed transactions (such as chargebacks), we may pass those fees on to you.
14.5. Changes to Fees: We reserve the right to change the pricing of the Service or any component thereof. If we change our subscription or usage fees, we will provide reasonable prior notice of the change, for example by posting updated fees on our website or contacting you via email or in-service notification. Fee changes will not apply retroactively; they will apply from the start of your next billing cycle or purchase. If you do not agree to a pricing change, you may cancel your subscription before the new fees take effect. Continued use of the paid Service after the fee change goes into effect constitutes your agreement to pay the new amount.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
15.1. Service Provided "AS IS": The Service and all information and content on the Service are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. We expressly disclaim all warranties and conditions of any kind, whether oral or written, express, implied or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, systems or services, be uninterrupted or error-free, or that any defects can or will be corrected.
15.2. No Warranty on Data and Security: VibeTrade does not warrant the accuracy, reliability, completeness, or timeliness of any data or information provided through the Service. While we strive to protect your account and data, we make no guarantee that the Service will be secure or free from vulnerabilities, bugs, viruses, or other harmful components. You understand that use of the Service is at your own discretion and risk.
15.3. Exclusion of Certain Damages: Under no circumstances shall VibeTrade or its officers, directors, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever. This exclusion covers any damages for lost profits, lost revenue, lost savings, loss of data, business interruption, loss of goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the Service, any content on the Service, or any conduct of third parties on or via the Service (including other users or third-party services). These exclusions apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
15.4. Cap on Liability: To the fullest extent permitted by law, VibeTrade's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount (if any) that you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any amount (for example, if you only used free features), our total liability to you shall not exceed US $100 (or the equivalent in your local currency).
15.5. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. To the extent that applicable law in your jurisdiction prohibits any of the exclusions or limitations in this Section 15, those exclusions or limitations may not apply to you (in which case the remaining provisions shall remain in full force and effect). However, in such cases, our liability will be limited to the fullest extent permitted by applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless VibeTrade, its future parent company or affiliates (if any), and each of their respective officers, directors, employees, and agents (collectively, the "Indemnified Parties"), from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to: (a) your use of the Service, including any trades or actions taken by you or through your account; (b) your violation of these Terms or of any applicable law or regulation; or (c) your User Content, including any claim that your content infringes or misappropriates any third-party rights or has caused harm to a third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with us in asserting any available defenses). This indemnity obligation will survive the termination or expiration of your relationship with VibeTrade and use of the Service.
17. Dispute Resolution
17.1. Informal Resolution: Most concerns can be resolved quickly by contacting us at our support email address. You agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service informally by contacting VibeTrade and providing a brief, written description of the dispute and your contact information (including your account email). Both you and VibeTrade agree to use good faith efforts to resolve the dispute informally. If the dispute is not resolved within thirty (30) days from the date of the initial notice of dispute, either party may then proceed to seek resolution through arbitration as outlined below.
17.2. Arbitration: If a dispute has not been resolved informally as described above, any and all disputes, claims, or controversies arising out of or relating to these Terms or the use of the Service shall be resolved by final and binding arbitration. The arbitration shall be administered by an internationally recognized arbitration body under its then-prevailing rules. The seat of arbitration shall be a neutral location agreed by the parties or otherwise determined under the applicable arbitration rules, and the arbitration proceedings shall be conducted in English. By agreeing to arbitration, you and VibeTrade each acknowledge that you are waiving the right to a trial in court or by a jury. The arbitrator shall have the authority to award any relief that a court of competent jurisdiction could grant, except that the arbitrator may not award punitive or exemplary damages or any damages disclaimed or limited by these Terms. The arbitrator's award shall be in writing and binding on the parties, and judgment on the award may be entered in any court of competent jurisdiction.
17.3. Class Action Waiver: You and VibeTrade agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You further agree that you shall not participate in any class action (existing or future) brought by any third party arising under these Terms or in relation to your use of the Service. If this class action waiver is found to be unenforceable, then the entirety of the arbitration clause (Section 17.2) shall be null and void (but the rest of the Terms shall continue in effect).
17.4. Exceptions to Arbitration: Notwithstanding the foregoing, either party may choose to pursue injunctive or equitable relief in a court of proper jurisdiction if the claim relates to actual or threatened infringement of a party's intellectual property rights (for example, trademark, trade secret, copyright, or patent rights). In addition, to the extent allowed by law, either party may seek relief in a small claims court for disputes or claims within the scope of that court's jurisdiction, as an alternative to arbitration.
18. Governing Law
These Terms and any dispute or claim arising out of or in connection with these Terms or the Service shall be governed by the laws applicable to the seat of arbitration determined under Section 17, without regard to its conflict of law principles. If arbitration is found not to apply to a particular dispute (except as noted in Section 17.4), or if any matter involves court proceedings (e.g., to enforce an arbitration award or seek injunctive relief for IP infringement), then, subject to any applicable consumer rights under local law, you and VibeTrade agree to submit to the personal and exclusive jurisdiction of a court of competent jurisdiction at the seat of arbitration or another forum agreed by the parties.
19. Changes to Terms
19.1. Right to Update: We may update or revise these Terms from time to time. If we make changes, we will post the updated Terms on the Service (for example, on our website or app) and update the "Last Updated" date at the top. The latest version of the Terms will always be available to you on our site.
19.2. Notice of Material Changes: If we make any material changes to these Terms, we will use reasonable efforts to notify you in advance of the changes. Notification may occur by various means, for example, via an email to the address associated with your account, or by prominent notice within the Service (such as a pop-up or banner). What constitutes a "material change" will be determined in our good faith discretion, but it typically includes changes that significantly affect your rights or obligations under the Terms.
19.3. Acceptance of Changes: By continuing to use the Service after updated Terms have been posted (and after any applicable notice period), you agree to the revised Terms. If you do not agree with the changes, you must stop using the Service and, if applicable, cancel any paid services. We encourage you to review the Terms periodically to ensure you understand the terms and conditions that apply to your use of the Service.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, then that provision shall be deemed modified to the minimum extent necessary to make it enforceable (if possible), and if it cannot be made enforceable, it shall be severed from these Terms. In any case, the invalidity or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which will remain in full force and effect.
21. Entire Agreement and No Waiver
These Terms, together with the Privacy Policy (and any other policies or guidelines incorporated by reference), constitute the entire agreement between you and VibeTrade regarding the Service and supersede any prior agreements, understandings, or arrangements (whether oral or written) in relation to the same subject matter. No waiver by VibeTrade of any breach or default by you shall be deemed a waiver of any preceding or subsequent breach or default. Our failure to enforce any provision of these Terms shall not be considered a waiver of our rights to enforce that provision (or any other provision) later.
